Drya
Terms of Service
Effective October 3, 2026
Operated by Forma Labs Technologies, LLC
1. Agreement to These Terms
These Terms of Service (“Terms”) govern access to and use of Drya — the applications, the WhatsApp integration, the website pages about Drya and related services (together, the “Service”) — operated by Forma Labs Technologies, LLC (“Forma Labs,” “we,” “us”). By creating a Drya account, requesting a trial, or using the Service, the business you represent (“you,” the “Customer”) agrees to these Terms and to the Drya Privacy Policy. If you do not agree, do not use the Service.
A person who messages your business on WhatsApp (a “client”) is not a party to these Terms. Your relationship with your clients is governed by your own terms and by the law that applies to you. The Drya Privacy Policy and the Drya Data Deletion Instructions describe how clients' information is handled and how a client can exercise their rights.
2. The Service
Drya is an AI assistant for small businesses that work by appointment. On your business's own WhatsApp number it answers clients using messages you approve, shows free times, holds and confirms appointments and sends reminders. In its own applications it keeps your appointment book and client list, and talks with you — by voice or text — about your schedule and your notes.
Drya is in a pilot phase. Features may change, be added or be withdrawn as the pilot progresses, and the Service may be unavailable at times. Features we describe as planned or in development — for example, Drya answering live phone calls, SMS messaging, voice assistants and in-car integrations — are not part of the Service until we release them and tell you so.
3. Eligibility and Accounts
You must be at least 18 years old and have authority to bind the business you register. You agree to give accurate information and keep it current, to protect your sign-in credentials and second factor, to use one account per person, and to tell us promptly at support@formalabstech.com if you believe your account has been compromised. You are responsible for activity under your account by people you allow to use it.
4. Trial Requests and the Waitlist
Because every Customer's WhatsApp runs under Forma Labs' technology-provider registration with Meta, we check that a business requesting a trial is real — using its name, website or Instagram and WhatsApp number — before releasing a trial. We may decline a request. We never ask for CPF, CNPJ, identity documents or payment details for this check. Trial requests are kept for up to 90 days (see the Privacy Policy). Joining the waitlist does not guarantee a place in the pilot.
5. WhatsApp Integration
You supply the phone number and WhatsApp Business Account used with Drya, and you must have the authority to use and connect them. Forma Labs does not supply that number. Forma Labs is registered with Meta as a technology provider; your account is created and connected through Meta's onboarding and operates under Meta's and WhatsApp's terms, including the WhatsApp Business Messaging Policy and the WhatsApp Business Terms of Service, which you agree to comply with.
In using the integration you must: obtain your clients' permission before messaging them and honor any request to stop; use approved message templates where Meta requires them; keep a clear way for a client to reach a person at your business; never ask a client for passwords, verification codes, full payment-card or bank details, or national identification numbers over WhatsApp; and not use Drya for unsolicited marketing. Meta may charge your own payment method for paid messages, as its billing rules provide, and may restrict or suspend a number for violations of its policies; we are not responsible for Meta's decisions.
You may keep using the WhatsApp Business app on the same number while Drya uses the WhatsApp Business Platform, within Meta's rules for that arrangement. Disconnecting Drya does not cancel your phone line, close your WhatsApp Business Account or delete information Meta holds independently; it stops Drya from sending and receiving on your number and revokes Drya's access.
6. Approved Messages, AI and Human Review
Every message Drya sends to a client is a pre-written template that you have approved, filled in by the system. Drya uses AI only to interpret what a client asks for; anything it cannot interpret with confidence becomes a task for you, never an automated action. Drya's answers to you may be inaccurate or incomplete, and you must review any consequential action before relying on it.
Drya is a scheduling and messaging assistant. It does not give medical, legal, financial or other professional advice, does not replace a licensed professional's judgment or required signatures, and is not an emergency service. You remain responsible for the services you provide to your clients, for your professional records and for your own legal obligations.
7. Customer Data and Data Processing
You are the controller of your clients' information and Forma Labs is your processor (in Brazil, controlador and operador). This Section is the data-processing agreement between us until a separate one is signed. Forma Labs will: process clients' information only on your documented instructions and for providing the Service; keep it confidential and limit access to people who need it; apply the security measures described in the Privacy Policy; use only the sub-processors listed there and notify you of changes; assist you in responding to clients' rights requests; notify you within 24 hours of confirming a security incident that affects your clients' information; and delete or return that information when the Service ends, as the Privacy Policy describes. On request we will provide the information reasonably needed to show compliance with this Section.
You warrant that you have a lawful basis and have given any notice the law requires for Drya to process your clients' information, and that you will use the Service only for scheduling and related communication. You must not enter, or ask Drya to keep, health records, clinical notes or other sensitive information beyond what scheduling needs; Drya stores a client's name, phone number, appointment and chosen service only. If you are in the United States, you must not use Drya for protected health information under HIPAA unless Forma Labs has signed a business associate agreement with you; none is offered today.
8. Acceptable Use
You must not use the Service to: send spam or unsolicited marketing; message anyone who has asked you to stop; send unlawful, deceptive, harassing or infringing content; request credentials, payment-card, bank or identification numbers from clients over WhatsApp; automate the WhatsApp consumer or Business app or otherwise circumvent Meta's platform rules; exceed or evade the usage allowances, rate limits or spending caps of your plan; reverse engineer, scrape or interfere with the Service or its security; or attempt to make Drya act outside the templates and tasks you have approved. We may throttle, pause or suspend sending to protect clients, other Customers, Meta's platform or the Service.
9. Optional Connectors
You may optionally connect your own accounts with third-party services (for example, an email account) so Drya can use them for the functions you enable. Connectors are off by default, use the third party's authorization method, and can be disconnected at any time, which revokes Drya's access and deletes the stored tokens. Your use of a connected service remains subject to that service's terms. Connectors we describe as planned are not available until released.
10. Fees and Payment
Fees for the Service are presented to you when you choose a plan and in the Drya application, and may include usage allowances and overage charges described there. Fees are billed in advance on a recurring basis through Stripe, our payment processor, using the payment method you provide; full card details never pass through Drya. Prices may exclude taxes, which are added where the law requires, and a Customer in Brazil may owe taxes on imported services as Brazilian law provides. We will give at least 30 days' notice before a price change takes effect for you. If a payment fails, we will notify you and may suspend the Service after a reasonable period. A Customer who is a consumer under Brazil's Consumer Defense Code has the right to withdraw from a contract made at a distance within seven days of signing up or of first use, with a full refund (Art. 49); other refunds are as described in your plan or as the law requires.
11. Suspension and Termination
You may close your account at any time in the application or by writing to support@formalabstech.com. We may suspend or terminate the Service for a material breach of these Terms, if Meta restricts or removes the WhatsApp integration, for non-payment after notice, or to prevent harm or legal risk, giving notice where reasonably possible. When the Service ends, Drya stops sending and receiving on your number and revokes its access. You may export your client list and appointments for 30 days afterwards; we then delete your information as the Privacy Policy describes, keeping only what the law requires us to keep.
12. Intellectual Property and Your Content
The Service, its software, templates, design and trademarks belong to Forma Labs and its licensors. Your business's information, your clients' information and the message templates you write remain yours; you grant us the license needed to process them to provide the Service. If you give us feedback about Drya, we may use it without obligation to you.
13. Third-Party Services
The Service depends on third parties — including Meta and WhatsApp, our hosting, AI and payment providers, and any connector you enable — whose terms apply to your use of them and whose availability and decisions we do not control.
14. Disclaimers
During the pilot the Service is provided as available and as described, and we do not promise that it will be uninterrupted, error-free or fit for a particular purpose beyond what these Terms state. Nothing in this Section limits rights that the law gives you and that cannot be excluded by contract, including rights under Brazil's Consumer Defense Code where it applies to you.
15. Limitation of Liability
To the extent the law allows, Forma Labs is not liable for indirect, incidental, consequential or punitive damages, for lost profits or lost business, or for the acts or omissions of Meta or another third party, and Forma Labs' total liability to you for all claims relating to the Service in any 12-month period is limited to the fees you paid for the Service in that period. These limits do not apply to liability that cannot be limited by law — including for fraud, willful misconduct, gross negligence, death or personal injury, or under mandatory consumer-protection law — and do not reduce our obligations as your processor under Section 7.
16. Indemnification
To the extent the law allows, you will defend and indemnify Forma Labs against third-party claims arising from your messaging practices, the content you send through Drya, your breach of these Terms or of Meta's policies, or your violation of your clients' rights.
17. Governing Law and Disputes
If you are established in Brazil, these Terms are governed by the laws of Brazil, and any dispute may be brought before the Brazilian courts; where the Consumer Defense Code applies, you may sue in the courts of your own domicile. Otherwise, these Terms are governed by the laws of the Commonwealth of Virginia, United States, and disputes will be brought in the state or federal courts located in Virginia, without prejudice to any mandatory law of the place where you are established. Before starting a proceeding, you and we agree to try to resolve a dispute by writing to each other and negotiating in good faith for 30 days.
18. Changes to These Terms
We may update these Terms by posting a revised version with a new effective date. If a change materially affects your rights or obligations, we will notify you through the Service or by email at least 30 days before it takes effect. Continued use after the effective date means you accept the revised Terms; if you do not, close your account before that date.
19. Communications and Language
You agree to receive service notices electronically, through the Service or by email, and to keep your contact information current. These Terms are published in English and Brazilian Portuguese with the same meaning; for Customers in Brazil, the Portuguese version prevails if they differ.
20. General
You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, financing, reorganization or sale of assets, subject to applicable law. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in effect. A failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control. These Terms, the Privacy Policy, the Data Deletion Instructions and any plan terms presented to you form the entire agreement about the Service.
