Drafting Scope and Important Distinctions

These Terms govern the public corporate website and interactions that occur before a separate consulting contract is signed. They do not govern Belonga, InForma, or paid consulting engagements covered by a mutually executed Master Services Agreement, Statement of Work, purchase order, government contract, or other written agreement.

Where a signed consulting agreement conflicts with these Terms, the signed agreement controls for that engagement. Submitting a contact form, attending an introductory meeting, receiving a proposal, or accessing website content does not by itself create a client, fiduciary, professional-adviser, partnership, joint-venture, or agency relationship.

1. Agreement to These Terms

These Website and Consulting Terms of Use (“Terms”) form an agreement between you and Forma Labs Technologies, LLC (“Forma Labs,” “we,” “us,” or “our”) and govern your access to formalabstech.com and any related public webpage that links to these Terms (collectively, the “Website”).

By accessing or using the Website, submitting an inquiry, downloading materials, or otherwise interacting with Website features, you agree to these Terms and acknowledge the Forma Labs Privacy Policy. If you do not agree, do not use the Website.

If you use the Website on behalf of a business, government entity, nonprofit, or other organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Geographic Scope

You must be at least 18 years old and legally capable of entering into a binding agreement to use interactive Website features. The Website is directed principally to business and professional audiences.

Forma Labs operates from the United States. Website availability in a location does not mean that Forma Labs offers products or consulting services in every jurisdiction. You are responsible for complying with laws applicable to your access and use.

3. Website Purpose and Information Only

The Website describes Forma Labs, its product-development work, and its AI implementation consulting capabilities. Website content is provided for general informational and business-development purposes.

Website content is not legal, medical, financial, cybersecurity, engineering, architectural, employment, procurement, or other regulated professional advice. It is not a representation that a particular AI system, workflow, product, control, or implementation is suitable for your organization.

Case studies, examples, frameworks, timelines, projected outcomes, and descriptions of capabilities are illustrative unless a signed agreement expressly states otherwise. Results depend on data quality, governance, user adoption, infrastructure, third-party services, client participation, legal requirements, and other factors.

4. Consulting Inquiries and No Client Relationship

You may contact Forma Labs regarding consulting, partnerships, funding, procurement, vendor relationships, speaking, media, or other business matters. An inquiry does not obligate either party to proceed and does not create a client relationship or duty to provide services.

A consulting engagement begins only when the parties execute a written agreement or another authorized procurement instrument. Scope, deliverables, fees, schedules, acceptance criteria, data handling, intellectual property, confidentiality, warranties, support, and liability will be governed by that agreement.

Forma Labs may decline an inquiry, request additional information, require conflicts or compliance checks, or stop preliminary discussions at any time.

5. Confidential and Sensitive Information

Do not submit confidential client information, trade secrets, passwords, credentials, export-controlled information, protected health information, payment-card data, sensitive personal information, or regulated data through the public contact form.

Unless Forma Labs has signed a confidentiality agreement that expressly covers the information, information sent through the Website will not be treated as confidential merely because you label it confidential. This does not limit obligations imposed by applicable law or a signed agreement.

If a prospective engagement may involve personal information, confidential business data, government-controlled information, or other sensitive material, the parties should first establish an approved transfer method and appropriate contractual safeguards.

6. AI Systems, Outputs, and Third-Party Models

Forma Labs may discuss, evaluate, configure, or implement artificial-intelligence systems. AI outputs may be incomplete, inaccurate, biased, outdated, non-unique, or unsuitable for a particular purpose. Human review and appropriate professional judgment remain necessary.

Forma Labs does not guarantee that an AI system will be error-free, uninterrupted, explainable in every respect, compliant with every law, or immune from security incidents, model changes, vendor outages, or unexpected behavior.

Any use of client data with an external AI provider must be governed by the applicable consulting agreement, approved architecture, provider terms, data-processing terms, and client authorization. Website descriptions do not constitute a zero-retention, no-training, confidentiality, security, or regulatory-compliance guarantee.

7. Intellectual Property and Limited Website License

The Website, including its text, graphics, branding, software, layouts, reports, frameworks, diagrams, and other content, is owned by or licensed to Forma Labs and is protected by intellectual-property laws.

Subject to these Terms, Forma Labs grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for lawful internal informational and business-evaluation purposes.

You may not copy substantial portions, republish, sell, sublicense, scrape, train a model on, create derivative commercial materials from, remove proprietary notices from, or use Website content to imply endorsement without prior written permission, except as permitted by law.

8. Feedback and Unsolicited Ideas

If you voluntarily provide suggestions, comments, or feedback about the Website or Forma Labs offerings, you grant Forma Labs a worldwide, perpetual, irrevocable, royalty-free, non-exclusive right to use and incorporate that feedback without compensation or attribution.

Do not submit an idea that you expect Forma Labs to treat as confidential, proprietary, or subject to an obligation to develop or compensate you.

9. Acceptable Use

Use the Website unlawfully, fraudulently, deceptively, or to infringe another person’s rights.

Attempt unauthorized access, credential attacks, vulnerability exploitation, malware delivery, denial-of-service activity, or security testing without written authorization.

Scrape, harvest, index, or extract Website content or contact information through automated means except as expressly permitted by robots instructions and applicable law.

Interfere with Website operation, bypass access controls, impersonate another person or entity, or submit materially false information.

Use Website content, branding, or communications to misrepresent a relationship with Forma Labs or to create misleading AI, security, privacy, certification, or performance claims.

Forma Labs may restrict access, preserve evidence, report unlawful activity, or take other reasonable measures to protect the Website, users, and third parties.

10. Third-Party Services and External Links

The Website may link to social networks, news sources, scheduling tools, app stores, vendors, partners, or other third-party services. Links are provided for convenience and do not necessarily constitute endorsement.

Third-party services are governed by their own terms and privacy practices. Forma Labs is not responsible for independently operated services, content, availability, security, pricing, or data practices.

11. Product Information and Separate Terms

Belonga and InForma are separate Forma Labs products with product-specific functionality, risks, privacy practices, and Terms of Service. Descriptions on the corporate Website do not replace the applicable product terms.

Product features, release dates, pricing, markets, platform availability, and technical architecture may change. A product description does not guarantee launch, continued availability, or inclusion of a feature.

12. Copyright and Trademark Complaints

If you believe Website content infringes your copyright or trademark rights, send a notice to support@formalabstech.com identifying the work, the allegedly infringing material, its location, your contact information, and the basis for your claim. Forma Labs may request additional information and may remove or restrict content while reviewing a complaint.

13. Privacy and Electronic Communications

The Forma Labs Privacy Policy explains how we handle personal information submitted through the Website or during preliminary business interactions.

You consent to receive service-related communications electronically, including responses to inquiries, security notices, and changes to legal terms. Submission of a contact form does not constitute consent to unrelated marketing. Marketing communications, if offered, require the applicable consent and include an unsubscribe method.

14. Website Availability and Changes

Forma Labs may modify, suspend, restrict, or discontinue any part of the Website at any time. We do not guarantee uninterrupted access, error-free operation, preservation of submissions, or compatibility with every device or browser.

We may update Website content without notice. You should not rely on an undated or archived statement as a current commitment.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FORMA LABS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

FORMA LABS DOES NOT WARRANT THAT THE WEBSITE, CONTENT, AI-RELATED INFORMATION, LINKS, OR COMMUNICATIONS WILL BE COMPLETE, CURRENT, SECURE, ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR A PARTICULAR DECISION OR IMPLEMENTATION.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMA LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR DAMAGES ARISING FROM RELIANCE ON WEBSITE CONTENT, THIRD-PARTY SERVICES, UNAUTHORIZED ACCESS, OR WEBSITE INTERRUPTION.

To the extent a liability cap applies and is not otherwise excluded by law, Forma Labs' aggregate liability under these Terms is limited to the greater of one hundred dollars ($100) or the total fees, if any, you paid to Forma Labs for the Website interaction giving rise to the claim during the twelve (12) months before the claim arose. This cap does not apply to obligations that cannot lawfully be limited, such as liability for gross negligence, willful misconduct, or other non-waivable statutory liability.

Liability arising under a signed consulting agreement is governed by that agreement rather than this section.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Forma Labs and its affiliates, officers, employees, and agents from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Website, violation of these Terms, infringement of another person’s rights, or information or materials you submit.

18. Governing Law and Disputes

These Terms and any dispute arising out of or relating to the Website are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Any dispute not resolved informally may be brought only in the state or federal courts located in Virginia, and you and Forma Labs each consent to personal jurisdiction and venue there. These Terms do not include an arbitration requirement or a class-action waiver at this time; Forma Labs may add one in the future with legally sufficient notice and, where required, an opt-out process.

19. Changes to These Terms

We may update these Terms by posting a revised version and changing the Last Updated date. Where required, we will provide advance notice of material changes. Continued use after the effective date constitutes acceptance except where renewed affirmative consent is legally required.

20. General Terms

You may not assign these Terms without our written consent. Forma Labs may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets.

If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.

These Terms and the Privacy Policy constitute the entire agreement regarding use of the Website, excluding any separately executed consulting or product agreement.
